3.1 Acceptance of terms

3.4 Accounts and accuracy

If you provide information to us, you agree it will be accurate and up to date.

3.5 Intellectual property

Our materials: All content, templates, designs, documents, training materials, and website elements are owned by or licensed to FradysTech and protected by applicable laws.

Your materials: You retain ownership of materials you provide to us. You grant us a limited license to use them only as needed to deliver services.

3.6 License for deliverables

Unless otherwise stated in writing:

  • You receive a non-exclusive license to use deliverables for your internal business purposes.
  • You may not resell, redistribute, or create derivative commercial products from FradysTech deliverables without written permission.

3.7 Payments and refunds

Payment terms are stated in invoices or order confirmations.

General rule: Fees for services and custom work are typically non-refundable once work begins, except where required by law.

For training/workshops and solution accelerators (if offered), the specific offer page or order confirmation will define any rescheduling/refund rules.

3.8 Client responsibilities

To deliver effectively, you agree to:

  • Provide timely access to required stakeholders, systems, or content
  • Review and approve deliverables within agreed timelines
  • Ensure you have rights to any content/data you provide

3.9 Prohibited activities

You agree not to:

  • Use the website to violate laws or third-party rights
  • Attempt unauthorized access, scanning, or disruption
  • Upload malicious code or harmful content
  • Use our content to create competing products without permission

3.10 Disclaimers

  • Our website and materials are provided “as is.”
  • We do not guarantee uninterrupted or error-free operation.

3.11 Limitation of liability

Our total liability for any claim related to the site or services will not exceed the amount paid to us for the specific service giving rise to the claim during the three (3) months preceding the claim.

6) AI & Automation Disclaimer

Our services may include AI-assisted outputs. AI can be inaccurate or incomplete. You are responsible for verifying outputs before relying on them, especially for high-stakes decisions.

7) Systems, Warranties & Uptime Disclaimers

FradysTech may deliver “systems” that include software, workflows, configurations, automations, integrations, templates, dashboards, code, documentation, or other digital deliverables (collectively, “Systems”).

7.1 No warranty of uninterrupted performance

Unless explicitly stated in an executed SOW, FradysTech does not warrant that Systems will be uninterrupted, error-free, or available at any specific uptime percentage. Any uptime targets, service levels, support windows, or maintenance commitments must be set out in writing (e.g., an SLA or support addendum).

7.2 Hosted systems and third-party dependencies

Where Systems rely on third-party platforms, APIs, hosting providers, embedded tools (e.g., assessment/calculator platforms), or client infrastructure, performance may be affected by factors outside FradysTech’s control (including provider outages, rate limits, client configuration changes, network conditions, and data quality). FradysTech is not responsible for failures attributable to third-party services or client-controlled environments.

7.3 Compatibility and environment requirements

System requirements (browsers, devices, cloud stack, security policies, integrations) must be documented in the SOW or technical specification. FradysTech disclaims warranties for incompatibilities arising from unapproved changes, unsupported environments, or outdated dependencies.

7.4 Security disclaimer

While FradysTech may implement security best practices, no system can be guaranteed completely secure. Unless explicitly stated in an executed SOW, FradysTech does not warrant that Systems will be free from vulnerabilities, intrusions, or unauthorized access.

7.5 Warranty limitation and IP non-transfer (by default)

To the maximum extent permitted by law, Systems are provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such disclaimers are not permitted.

Any assignment/transfer of intellectual property rights must be explicitly stated in the SOW; otherwise, rights are granted as a license as described in Section 11.

8) Quantified Proof & Results Disclaimers

FradysTech may publish case studies, metrics, benchmarks, and quantified outcomes (e.g., accuracy rates, savings estimates, response times, ROI multiples) derived from prior engagements.

8.1 Results may vary

Outcomes depend on client-specific factors including data integrity, business processes, staff adoption, infrastructure, governance, and baseline performance. Results may vary and past performance does not guarantee future results.

8.2 Data integrity and infrastructure dependence

Where an outcome depends on client data and systems, the client is responsible for providing accurate inputs and maintaining required infrastructure. Metrics may not be achievable where data is incomplete, inconsistent, or where systems are materially different from the environments used in prior engagements.

8.3 Verification and approvals

Where required by agreement or policy, published metrics may be based on internal logs, measurement frameworks, and/or client sign-off. Unless expressly stated, public metrics are shared for illustrative purposes and do not constitute a guarantee.

9) Pricing & “Selective Transparency” Notice

FradysTech may publish indicative investments for certain offers (for example: a Feasibility Sprint, training rates per participant, or accelerator ranges).

9.1 Invitation to treat / non-binding pricing

Except where prohibited by law, any website pricing is provided as an invitation to treat (a non-binding estimate) and is not a binding offer. Final pricing and scope are confirmed only in a signed proposal, executed SOW, order confirmation, or invoice.

9.2 Fixed-scope offers and scope boundaries

If a fixed-scope offer is referenced (e.g., “Feasibility Sprint”), the fixed price applies only to the scope defined in the applicable SOW or offer terms. Additional requirements, expanded scope, integrations, or accelerated timelines may require a separate quote.

9.3 Taxes, fees, currency, and changes

Quoted figures may exclude applicable taxes, payment processing fees, travel costs, or third-party subscription costs. Currency handling, payment terms, and validity periods are set out in the proposal/SOW.

10) AI Output, Human-in-the-Loop & Responsibility

10.1 Probabilistic nature of AI

AI outputs are probabilistic and may be inaccurate, incomplete, or inappropriate. FradysTech does not guarantee 100% accuracy, completeness, or suitability of AI-assisted outputs.

10.2 Human-in-the-loop controls

Where AI systems are deployed with review, approval, escalation, or human-in-the-loop controls, those controls are a critical safety feature. Unless otherwise stated in writing, the client retains responsibility for:

  • Reviewing and approving AI outputs before use
  • Configuring approval thresholds, escalation rules, and access controls
  • Ensuring appropriate staff oversight and monitoring

10.3 Client responsibility for use and decisions

You are responsible for decisions made using outputs from Systems, including AI-generated content, recommendations, predictions, or actions. Do not rely on Systems for legal, medical, financial, or other high-stakes decisions without qualified professional review.

10.4 Restricted and sensitive data

Clients should not submit secrets, highly sensitive personal data, or regulated data to AI tools unless explicitly agreed and protected by suitable safeguards. Data handling and tool selection should be aligned to the client’s compliance requirements.

11) IP Ownership & Rights in Deliverables

11.1 Client deliverables vs. underlying IP

Unless otherwise agreed in writing:

  • Client Deliverables: The client receives a license to use the deliverables produced for them (e.g., configurations, documents, automations, code) for internal business purposes.
  • FradysTech Background IP: FradysTech retains ownership of its pre-existing materials, methods, templates, frameworks, libraries, prompts, architectures, and know-how (including any generalized components not created uniquely for the client).

11.2 AI-generated outputs

Where Systems include AI-generated code or content, ownership and licensing follow the same structure: the client may use the outputs delivered for their engagement, while FradysTech retains background IP and reusable frameworks unless an SOW states a full assignment.

11.3 IP assignment (if applicable)

If an engagement requires assignment of certain IP rights to the client, that must be explicitly stated in the SOW (including any exclusions for background IP and third-party components).

11.4 Third-party and open-source components

Systems may incorporate third-party or open-source components subject to their own licenses and terms. The client agrees to comply with applicable third-party license obligations.

12) Accessibility Statement

FradysTech is committed to providing a website that is accessible to the widest possible audience, regardless of technology or ability. We aim to follow recognized accessibility standards, including WCAG 2.1 Level AA where feasible.

13) Data Processing Addendum (DPA) Notice (Optional)

If FradysTech processes personal data on behalf of a client as a processor/service provider (for example, when building or operating Systems that process end-user or employee data), FradysTech may provide a Data Processing Addendum (DPA) upon request or as part of an enterprise contract.

The DPA will typically address: roles and responsibilities (controller/processor or business/service provider); permitted processing instructions; confidentiality and security measures; sub-processors; international transfers (where applicable); breach notification; data subject rights assistance; deletion/return of data at end of services; and audit/assurance mechanisms.

15) Export Controls & Sanctions (Optional)

You agree to comply with applicable export control and sanctions laws and regulations when using our website and services. You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive sanctions, and you are not listed on any restricted party lists maintained by relevant authorities.

FradysTech may decline, suspend, or terminate services if providing services would violate applicable export controls or sanctions laws.

17) Governing Law & Dispute Resolution (Optional)

Unless otherwise specified in a signed SOW or contract, the governing law and dispute resolution process will be determined by the legal entity contracting with you and the applicable jurisdiction for that engagement.

Where permitted, the parties agree to attempt to resolve disputes in good faith through informal negotiation before pursuing formal legal action. Any dispute resolution, venue, or arbitration terms may be set out in the applicable SOW or master services agreement.
