Training Enrollment Terms

By enrolling in any Fradys Technologies training program, you ("Student," "you," or "your") agree to these Training Enrollment Terms ("Terms"), which supplement our general Terms of Service.

1. Enrollment & Payment

1.1 Merchant of Record

All training program purchases are processed by Paddle.com Market Limited (or its affiliates), our authorized reseller and Merchant of Record for all orders. Paddle is the seller of record for all purchases and manages:

  • Payment processing
  • Tax collection and remittance
  • Subscription billing (if applicable)
  • Refunds and customer support for payment issues

When you complete a purchase, you are entering into a contract with Paddle as the seller of record. Fradys Technologies delivers the training services.

1.2 Pricing & Taxes

  • All prices are displayed in USD and are subject to applicable taxes (VAT, GST, sales tax).
  • Taxes are calculated at checkout based on your billing address.
  • Prices shown are tax-inclusive where required by law.
  • Paddle handles all tax compliance globally.

1.3 Payment Methods

We accept major credit cards, debit cards, and PayPal through Paddle's secure checkout.

1.4 Enrollment Confirmation

Upon successful payment:

  • You will receive a receipt from Paddle
  • You will receive a welcome email from Fradys Technologies with access details
  • You will receive a calendar invite for your cohort sessions (where applicable)

2. Program Delivery & Access

2.1 Online Delivery

All programs are delivered 100% online via:

  • Live video sessions (Zoom or similar platform)
  • On-demand recordings (available for a limited retention period)
  • Learning management system (LMS) for materials, videos, and resources

2.2 Session Times & Time Zones 🆕 UPDATED V1.1

  • All session times are displayed in East Africa Time (EAT / UTC+3) with a note to convert to your local time zone.
  • It is the participant's responsibility to convert session times to local time before booking.
  • We offer multiple cohort times to accommodate global participants (Americas, EMEA, APAC-friendly sessions where available).

"Golden Window" Scheduling Standard:

We typically schedule live cohorts within 3:00 PM – 7:00 PM EAT (UTC+3) to optimize overlap between:

  • European afternoons: 1:00 PM – 5:00 PM CET/CEST (Central European Time)
  • U.S. East Coast mornings: 7:00 AM – 11:00 AM EST/EDT (Eastern Time)
  • U.S. West Coast early mornings: 4:00 AM – 8:00 AM PST/PDT (Pacific Time)

Note: This scheduling window accommodates the majority of global time zones but may require early or late participation for some regions (e.g., Asia-Pacific participants may need to attend in evening hours).

Missed Attendance Due to Timezone Confusion:

Missed attendance due to time zone confusion will be directed to replay access (where available). We cannot offer refunds for time zone-related no-shows. Time zones are clearly stated in EAT on all program pages and calendar invites.

2.3 Recording Access

  • All live sessions are recorded (unless otherwise specified).
  • Recordings are available for 90 days after the program end date (unless otherwise specified for specific programs).
  • You must download or access recordings during this retention period. After expiration, recordings are permanently deleted.
  • Recording extensions are not available.

2.4 Materials & Resources

  • Course materials (playbooks, templates, worksheets) are provided via the LMS.
  • Materials remain accessible for 180 days after program completion.
  • You may download materials for personal use during the access period.

2.5 Community Access

  • Some programs include access to a private Slack workspace or community forum.
  • Community access is valid for the duration of the program plus 30 days post-completion.

3. Attendance & Participation

3.1 Live Session Attendance

  • Live attendance is encouraged but not required.
  • If you cannot attend live, you may access session recordings (subject to recording retention policy).

3.2 Pre-Work & Assignments

  • Some programs require pre-work or assignments.
  • Completion of pre-work is your responsibility.
  • Failure to complete pre-work may impact your learning outcomes but does not entitle you to a refund.

3.3 Certification

  • Certificate of completion is awarded upon:
    • Attending or viewing recordings of at least 75% of sessions, AND
    • Completing any required assignments or assessments
  • Certificates are issued digitally via email within 10 business days of program completion.

4. Refund Policy

4.1 Full Refund Window

You may request a full refund if:

  • You cancel 7 or more days before the program start date, AND
  • You have not accessed any course materials or recordings

How to request: Email training@fradystechnologies.com with your transaction ID.

4.2 Partial Refund Window

You may request a 50% refund if:

  • You cancel 3-6 days before the program start date, AND
  • You have not accessed any course materials or recordings

4.3 No Refunds After Access

No refunds are available if:

  • The program has started, OR
  • You have accessed any LMS materials, recordings, or resources

4.4 Digital Goods Waiver & EU/UK Consumer Rights 🆕 UPDATED V1.1

By enrolling, you acknowledge that training programs are digital goods and that access begins immediately upon enrollment (with access to pre-work, materials, or community).

EU/UK Consumer Rights Directive:

If you are located in the European Union or United Kingdom, you have the right to cancel within 14 days under the Consumer Rights Directive. However:

By checking the "Digital Access Waiver" checkbox at checkout, you expressly request immediate performance and delivery of digital content, and you acknowledge that your right to cancel is waived once digital access begins.

This is a legal requirement for digital content delivery under EU law. The checkbox must be checked to complete your purchase.

What "Access Begins" Means:

  • Logging into the LMS or member portal
  • Downloading any materials
  • Viewing any recordings
  • Receiving access credentials
  • Joining a live session

Once any of these occur, the 14-day cancellation right is waived under EU law (Article 16(m) of the Consumer Rights Directive).

4.5 Refund Processing

  • Refunds are processed by Paddle (our Merchant of Record).
  • Refunds typically appear in your account within 5-10 business days.
  • Paddle retains transaction fees even on refunded purchases.

5. Licensing & Permitted Use

5.1 Single-User License

Each enrollment grants a single-user, non-transferable license to access the program.

You may NOT:

  • Share your login credentials with others
  • Download and redistribute course materials
  • Stream or share session recordings with non-enrolled individuals
  • Resell or sublicense access to the program

5.2 Team & Enterprise Enrollments

  • Team enrollments (5-25 seats) include licenses for the specified number of participants.
  • Each participant receives their own login credentials.
  • Licenses may not be transferred to individuals outside the purchasing organization.

5.3 Personal Use Only

Materials may be used for your personal or internal organizational use only. Commercial use, resale, or redistribution is prohibited.

6. Recording Consent & Privacy

6.1 Session Recording Notice

All live training sessions are recorded for educational purposes. By joining a session, you consent to being recorded.

6.2 Camera-Off Option

You may keep your camera off during live sessions if you prefer not to appear on camera.

6.3 Recording Retention

  • Session recordings are retained for 90 days after program completion (unless otherwise specified).
  • After the retention period, recordings are permanently deleted.

6.4 Use of Recordings

Recordings are used for:

  • Providing on-demand access to enrolled students
  • Quality assurance and instructor training (internal use only)

Recordings are not used for marketing purposes without your explicit consent.

6.5 Data Handling

Personal data collected during enrollment is handled in accordance with our Privacy Policy.

7. AI Training Prohibition 🆕 UPDATED V1.1

7.1 No AI Training Use

You may NOT:

  • Upload session transcripts, recordings, or course materials into AI models (ChatGPT, Claude, Gemini, etc.) for training purposes
  • Use our proprietary frameworks, playbooks, or templates to train AI models
  • Create derivative AI tools or products using our course content
  • Fine-tune, calibrate, or evaluate AI/ML models using Fradys Technologies content
  • Use our methodology to build competing products or services

7.2 Permitted AI Use

You MAY:

  • Use AI tools to summarize or take notes from course content for your personal use
  • Apply frameworks and methodologies learned in the course to your work (with AI assistance)
  • Use AI tools to help implement what you learned (without uploading proprietary content)

7.3 Enforcement & Legal Consequences 🆕

All methodology, frameworks, and content remain the proprietary intellectual property of Fradys Technologies.

Violation of this policy may result in:

  • Immediate termination of access without refund
  • Legal action for intellectual property infringement
  • Injunctive relief to prevent further unauthorized use
  • Damages including actual damages and legal fees

We actively monitor for unauthorized use of our IP and will pursue all available legal remedies.

8. Intellectual Property

8.1 Ownership

All course content, including but not limited to:

  • Video recordings
  • Presentation slides
  • Templates and frameworks
  • Playbooks and worksheets
  • Software tools and code examples

...are the intellectual property of Fradys Technologies, Inc. or its licensors.

8.2 Limited License

You receive a limited, non-exclusive, non-transferable license to access and use course materials for personal or internal organizational purposes during and after the program (subject to access retention periods).

8.3 Trademarks

"Fradys Technologies," "FradysTech," and related logos are trademarks of Fradys Technologies, Inc. You may not use our trademarks without written permission.

9. Connectivity, Technical Issues, & Force Majeure

9.1 Internet Connectivity

You are responsible for maintaining stable internet connectivity to participate in live sessions and access the LMS.

We are not responsible for:

  • Internet outages or connectivity issues on your end
  • Inability to access sessions due to your local network restrictions
  • Bandwidth limitations that affect video quality

9.2 Platform Downtime

In the event of platform downtime or technical issues on our end:

  • We will provide recordings of missed sessions
  • We will reschedule critical sessions where feasible
  • You are not entitled to a refund for minor technical disruptions

9.3 Force Majeure / Guaranteed Replay

If a live session cannot be delivered due to circumstances beyond our control (instructor illness, platform outage, natural disaster, etc.):

  • We guarantee access to a recorded replay of the session content
  • OR we will reschedule the session at an alternative time

9.4 No Liability for Disruptions

We are not liable for:

  • Lost learning time due to technical issues
  • Business losses resulting from inability to attend sessions
  • Consequential damages from service disruptions

10. Code of Conduct

10.1 Respectful Participation

You agree to:

  • Engage respectfully with instructors and fellow participants
  • Refrain from disruptive, offensive, or harassing behavior
  • Comply with community guidelines (if provided)

10.2 Consequences of Violations

We reserve the right to:

  • Remove you from live sessions
  • Revoke access to the program (without refund)
  • Terminate your enrollment for egregious violations

11. Disclaimers & Limitation of Liability

11.1 Educational Purpose

Training programs are provided for educational purposes only. We do not guarantee:

  • Specific business results or outcomes
  • Certification or licensing in any jurisdiction
  • Employment or career advancement

11.2 No Warranties

Programs are provided "as is" without warranties of any kind, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

11.3 Limitation of Liability

To the maximum extent permitted by law, Fradys Technologies' total liability for any claim related to your enrollment is limited to the amount you paid for the program.

We are not liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business opportunities
  • Loss of data or materials

12. Modifications to Terms

We may update these Training Enrollment Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our training programs constitutes acceptance of any changes.

For programs you have already enrolled in, material changes to terms will not apply retroactively.

13. Governing Law & Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

13.2 Dispute Resolution

Any disputes arising from your enrollment will be resolved through:

  1. Informal Resolution: Contact training@fradystechnologies.com to resolve the issue informally.
  2. Mediation: If informal resolution fails, disputes will be submitted to mediation in Delaware.
  3. Arbitration: If mediation fails, disputes will be resolved through binding arbitration in Delaware under the rules of the American Arbitration Association.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive the right to participate in class action lawsuits.
